Investor data room · Confidential Access-gated · 2026

What's inside the data room.

A description of every section — without exposing its contents.

This is the index to Summit Cognitive's investor data room. Confidential financials, the cap table, the valuation, and term-sheet specifics are not published here. Each section below describes what it contains and why it matters, and carries a Request access affordance. The materials themselves are released on a redaction-by-default basis to qualified investors with an active diligence engagement.

How access works

Public index, private contents. You can see the shape of the room from here — the contents open after we verify.

01 · REQUEST

Leave your email

Use the request form below, or write to the founder directly. This is for accredited or otherwise qualified investors. We respond personally — it is not an automated subscription.

02 · VERIFY

We confirm fit

We verify the engagement and confirm an active diligence conversation before any confidential section is released. Some materials are NDA-only.

03 · RELEASE

Redaction by default

Sections open progressively. Confidential financials, cap table, valuation, and term-sheet specifics are shared only inside an active diligence engagement — never on this public page.

04 · DILIGENCE

Deeper on request

Patent-sensitive implementation detail and the detailed pipeline / relationship map are reserved for investors under NDA with an active engagement.

Section by section

What each section is for — described without exposing the confidential contents inside it.

  • SECTION 00Gated

    Executive summary & master deck

The one-read orientation to the company, the category, and the round — plus the master pitch deck, retargeted per investor.

    • Company overview and positioning: the runtime admissibility layer for AI in high-stakes decisions.
    • The master deck in variants — from a short cold-intro teaser to a standard deck to a comprehensive deck.
    • The thesis in brief: proof, not capability, is the scarce resource; explanation is not proof.
    • A reading map pointing to every other section in this room.
    Request access →Retargeted per investor.
  • SECTION 01Gated · figures redacted

    Financial model

The operating model and the runway narrative. Figures are not published on this page — they are released only to investors in active diligence.

    • An 18-month model with base and downside cases.
    • The burn and runway narrative tied to the round and funded milestones.
    • Use-of-funds breakdown across hiring, compliance, IP, and pilot business development.
    • Assumptions and sensitivities, stated as ranges rather than point claims.
Request access →No financials are shown here.
  • SECTION 02Gated · diligence only

    Cap table

The current ownership picture and post-round modeling. Released only to investors with an active diligence engagement.

    • The company is 100% founder-owned today — no convertible notes, no advisor equity issued yet, no employee option pool issued yet.
    • Pro-forma modeling for the pre-seed SAFE round.
    • Detailed line-item ownership is shared inside the engagement, not on this page.
Request access →No cap-table detail is shown here.
  • SECTION 03Gated

    Product & technical architecture

How the product works, told at an investor-safe altitude. The product is live in production — every governed action ships a signed, replayable Decision Receipt.

    • The investor-safe four-layer governed decision pipeline (capture → policy → signing → receipt).
    • Deployment and security architecture: Ed25519 signatures, deny-by-default policy gating, public-key verification.
    • The live endpoint at decrec.summitcognitive.ai, with a public key and ledger for independent verification.
    • Codebase shape: 52 canonical packages and five integrated services; architecture-diagram appendices.
Request access →Patent-sensitive internals are NDA-only.
  • SECTION 04Gated · NDA for detail

    IP & patent posture

The intellectual-property surface and the moat strategy. The patent is pending, not granted.

    • Provisional patent application No. 64/034,952, filed April 10, 2026; non-provisional conversion due April 10, 2027.
    • The continuation and international PCT strategy, funded by this round.
    • The deep-IP and category-creation surface — Summit owns the vocabulary for decision admissibility.
    • Patent-sensitive implementation detail is available under NDA only.
    Request access →Pending, not granted.
  • SECTION 05Gated

    Market & category

The opportunity, the regulatory window, and why admissibility is a category Summit is creating — not a slice of an existing one.

    • The category thesis: Cognitive Security, the runtime admissibility layer underneath AI governance, model safety, data security, and audit.
    • Regulatory tailwinds: the OMB federal AI governance mandate; the EU AI Act (high-risk and runtime obligations); NIST AI RMF converging with bank model-risk guidance, FedRAMP, CMMC, and IC Directive 503.
    • Adjacent-market framing and ranges; market-size inputs are cited as third-party estimates for context.
    • Positioning versus Palantir: complementary, not competitive — the notarized record beside the investigator's notebook.
Request access →Sizing is third-party estimate.
  • SECTION 06Gated · ranged, never named

    Go-to-market & traction

The motion to market and the public proof behind it. Pipeline numbers are deliberately ranged and never customer-named.

    • Live proof metrics: more than 3,000 signed Decision Receipts in production, 98.6% receipt acceptance (deny by default), 99.9% replay determinism, across 9 governed agents.
    • The anonymized pipeline / relationship map, ICP, and pricing appendix.
    • The pilot, design-partner, and federal capture motion; the design-partner waitlist.
    • Channels building category authority: the Dispatches essay series and the Warrant podcast.
Request access →Pre-revenue; no paying customer today.
  • SECTION 07Gated

    Governance & compliance

The trust and security posture, and the SAFE-stage governance terms. Frameworks are designed-for-alignment, not yet certified.

    • SPRS / NIST 800-171 self-assessment with the remediation trajectory.
    • NIST AI RMF mapping and the security & trust one-pager.
    • The SOC 2 / FedRAMP / CMMC roadmap — designed-for-alignment, not yet certified (SOC 2 not certified; FedRAMP scoped; CMMC planned).
    • SAFE-stage governance: no board today; investor information rights only; MFN on later SAFEs in the same round; pro-rata to lead and major investors.
Request access →Independent review scoped, not completed.
  • SECTION 08Gated

    Corporate & legal

The formation and governance record for the company.

    • Certificate of incorporation — Summit Cognitive, Inc., a Delaware C-Corporation.
    • Bylaws, board consents, and founder stock.
    • IP-assignment posture.
    • Active federal registrations: EIN, UEI, CAGE, SAM.gov.
Request access →Founded April 2026, Alma, Colorado.
  • SECTION 09Gated

    Team & advisors

Who is building this, and who advises it.

    • Founder bio (cleared variants): Brian C. Long, Founder & CEO, technical lead — the codebase was built and is maintained by one person.
    • The three-role post-funding hiring plan: federal capture lead, security engineer, design-partner success.
    • The advisor profile matrix and the advisory-agreement template.
    • Note: a speaking slot at Web Summit, Lisbon (November 2026) is in flight / being secured, not confirmed.
Request access →Sole founder by design at this stage.
  • SECTION 10Gated

    Federal credentials & pipeline

The federal posture, credentialing, and the capture motion.

    • Capability statement and the federal readiness packet.
    • Opportunity register and active submissions.
    • The OTA / FAR / CSO posture.
    • Credentialing complete: UEI assigned, SAM.gov registered, CAGE code assigned.
Request access →Pipeline figures are ranged.
  • SECTION 11Gated · illustrative only

    Term summary

The discussion template for the round. The term summary is illustrative — not an offer, and not legal or financial advice.

    • The pre-seed SAFE term summary (illustrative): instrument, structure, and standard rights.
    • Use of funds and funded milestones tied to the round.
    • The valuation cap is to be set with the lead investor and is not stated here.
    • This is a discussion template — non-binding, with no security offered or sold by it.
    Request access →Not an offer.
